Change of use to residential use: subject to negotiation

If the seller assumes responsibility for the change-of-use procedure under an express agreement, the associated approval risk under Sections 29 et seq. of the German Building Code (BauGB) and the applicable building regulations would initially lie with the seller. For the buyer, this could increase planning and cost certainty and reduce the risk discount that would otherwise be required in the acquisition calculation. This does not constitute an assurance that approval is possible or will be granted.
A completed change-of-use procedure could shorten the lead time before construction and marketing begin. This may affect construction-period interest and debt servicing. If agreed, the seller would also bear the costs of the procedure, particularly those for the building application, specialist planning and required expert reports.
Approved residential use may be assessed differently from commercial use by financing banks with regard to the mortgage lending value, property type, rating and interest terms. Housing-related subsidies and KfW programmes could then generally be considered, provided their respective requirements are met. A subsequent division into separate units and individual sale under the German Condominium Act would need to be assessed separately, but could open up a broader pool of buyers.
The scope, allocation of costs and timing of any change of use initiated by the seller are exclusively subject to negotiation. They must be expressly stipulated in the purchase agreement if they are to apply. Evidence of parking spaces, fire safety, sound insulation, the requirements of the German Building Energy Act and accessibility must still be assessed separately, irrespective of this.
